These Terms of Service (the "Terms") are entered into between you and Sell My Ride, Inc., a Delaware corporation ("Company," "we," "us," or "our"). They govern your access to and use of the website located at ep.sellmyride.com (the "Site").

Business Affiliation Disclosure: The Site is operated by Sell My Ride, Inc. acting as an authorized lead generation and marketing partner for a network of independently operated partner dealerships, including EchoPark Automotive locations and other participating dealerships ("Partner Dealerships").

When you use this Site to value or sell your vehicle, your inquiry is routed to the Partner Dealership nearest to your vehicle's location, and the information you submit will be shared with that dealership so they may contact you regarding the purchase of your vehicle.

The specific Partner Dealership is identified to you on the Site at the time you submit your details.

Any sale of your vehicle is a transaction strictly between you and the applicable Partner Dealership.

Please read these Terms carefully before using the Site. By accessing or using the Site, you accept these Terms and agree to be bound by them. If you do not agree, you must not access or use the Site.

Changes to the Terms

We may modify these Terms at any time in our sole discretion. Modified Terms become effective when posted to the Site. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.

Modification of the Site

We reserve the right to modify, suspend, or discontinue the Site, in whole or in part, at any time without notice.

Privacy

All information collected through the Site is handled in accordance with our Privacy Policy. By using the Site, you consent to the practices described in the Privacy Policy.

Vehicle Valuation and Dealership Transactions

The Site provides an estimated vehicle valuation and connects you with a Partner Dealership.

Any valuation or offer presented through or as a result of the Site is an estimate and is not a binding offer to purchase.

Final offers are subject to in-person inspection and confirmation by the Partner Dealership.

If you choose to sell your vehicle, that transaction is solely between you and the Partner Dealership and will be governed by the separate terms presented to you by that dealership at the time of sale.

We are not a party to, and are not responsible for, any transaction between you and a Partner Dealership.

User Submissions

Any information, feedback, ideas, or materials you submit through the Site ("User Submissions"), other than your personal information (which is governed by the Privacy Policy), will be considered non-confidential.

You grant Sell My Ride, Inc. a non-exclusive, royalty-free license to use such User Submissions in connection with operating and improving the Site and Services.

You represent that you have the right to submit any User Submissions you provide.

Children

The Site is intended for individuals aged 18 and over. Sell My Ride, Inc. does not knowingly collect personal information from anyone under 18.

Intellectual Property

All content on the Site, including text, images, graphics, logos, and code (the "Content"), is owned by or licensed to Sell My Ride, Inc. and is protected by applicable intellectual property laws.

You may use the Content solely for personal, non-commercial, informational purposes.

You may not copy, reproduce, distribute, or create derivative works from the Content without our prior written consent.

Prohibited Conduct

You agree not to use the Site in violation of any applicable law or regulation, to submit false, inaccurate, or misleading information, to harm or exploit minors, to transmit spam, to impersonate any person or entity, or to interfere with the operation or security of the Site.

The Site may contain links to third-party websites, including those of our Partner Dealerships. We do not control or endorse third-party websites and are not responsible for their content or practices.

Disclaimer of Warranties

The Site and all Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that any valuation, estimate, or offer presented through the Site is accurate or that it will be honored by any Partner Dealership.

Limitation of Liability

To the fullest extent permitted by law, Sell My Ride, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site or any transaction with a Partner Dealership.

Indemnification

You agree to indemnify and hold harmless Sell My Ride, Inc. and its Partner Dealerships from any claims, damages, liabilities, and expenses arising out of your use of the Site or your violation of these Terms.

Electronic Communications

By using the Site, you consent to receive communications from us electronically, including by email, phone, or text message in connection with your inquiry.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.

Class Action Waiver

To the extent permitted by law, you waive any right to participate in a class action arising out of or related to these Terms or the Site.

Limitation on Time to File Claims

Any claim arising out of or related to these Terms or the Site must be filed within one (1) year after the claim arises, or it will be permanently barred.

Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision.
